Vicki Bernholz (“Executive”) is currently employed by SuccessFactors, Inc. (the “Company”) as Chief People Officer. The Director and the Company are parties to a job offer dated 23 July 2009 (the “Letter of Offer Agreement”). The company and management have decided to enter into this mutual separation agreement. It is the company`s wish to grant management certain benefits related to such a separation and to resolve any claims that the manager has or may have against the company. Accordingly, the Manager and the Company agree with the terms set forth in this Mutual Separation and General Declassification of Rights Agreement (the “Agreement”). This Agreement shall enter into force on the eighth (8) day following the date of its signature by the Executive (the “Effective Date”), unless the Executive has revoked this Agreement in writing prior to the Effective Date. This correspondence agreement (this “Mutual Separation Agreement”) and a separate Chief Consultant Agreement entered into simultaneously by you and IDEXX Laboratories, Inc. (the “Company”) (the “Senior Advisory Agreement”), set forth the conditions under which your tenure as an employee of the Company and its subsidiaries and related companies (hereinafter referred to as “IDEXX” in summary) and you (i) continue to serve as a member of the Board of Directors (“Board”). will, however, resign from his or her position as Chairman of the Board of Directors and (ii) serve as a senior advisor to the unstaffed company (a “Senior Advisor”). By signing below, you agree to the terms set forth in this Mutual Separation Agreement and you agree and acknowledge that the Employer believes that the Employee and another person in the Organization are incompatible and that a mutually agreed separation would be the best thing to do; Unless otherwise agreed between the parties, the Executive will continue to exercise its EPP human resources functions until 29 February 2020. On March 1, 2020, the date of publication, the manager will dispense with any task related to the company, unless he is properly available by phone and email to answer all questions of the company. .
